Blaize prices $35 million stock offering

(Nasdaq: BZAI , Nasdaq: BZAIW ) ("Blaize," the "Company," "we," "our," or "us"), a leader in programmable, energy-efficient AI computing, announced today the pricing of its registered underwritten public offering of 18,918,918 shares of its common stock at a public offering price of $1.85 per share, resulting in gross proceeds to the Company of approximately $35 million, before deducting the underwriters' discounts and estimated offering fees and expenses. In addition, Blaize granted the underwriters a 30-day option to purchase up to an additional 2,837,837 shares of common stock at the public offering price, less the underwriting discounts. The offering is expected to close on May 7, 2026, subject to customary closing conditions.

The Company intends to use net proceeds from the offering for working capital and general corporate purposes. Northland Capital Markets is acting as sole bookrunning manager for the offering. The Benchmark Company, LLC is acting as co-manager for the offering.

A shelf registration statement on Form S-3 relating to the securities offered in the public offering described above was filed with the Securities and Exchange Commission (the "SEC") on January 27, 2026 (File No. 333-292986) and declared effective by the SEC on February 4, 2026.
