Accredited Investor Qualification

Individuals are considered accredited investors as long as they meet any of the following net worth or asset criteria. Private placements marked as Accredited Investor Exemption deals are only available to qualified investors.

United States

SEC Rule 501 of Regulation D

aA natural person whose individual net worth, or joint net worth with a spouse or spousal equivalent, exceeds US$1,000,000 — excluding the value of the primary residence.
bA natural person with individual income exceeding US$200,000 in each of the two most recent years, or joint income with a spouse or spousal equivalent exceeding US$300,000 in each of those years, with a reasonable expectation of reaching the same income level in the current year.
cA natural person holding in good standing a Series 7, Series 65, or Series 82 license.
dA trust with total assets exceeding US$5,000,000, not formed specifically to acquire the securities offered, whose purchase is directed by a sophisticated person.
eAn entity in which all equity owners are accredited investors.

Canada

National Instrument 45-106 — Prospectus Exemptions

aAn individual who, either alone or with a spouse, beneficially owns financial assets having an aggregate realizable value that, before taxes but net of any related liabilities, exceeds C$1,000,000.
bAn individual whose net income before taxes exceeded C$200,000 in each of the two most recent calendar years, or whose net income before taxes combined with that of a spouse exceeded C$300,000 in each of those years, and who in either case reasonably expects to exceed that income level in the current calendar year.
cAn individual who, either alone or with a spouse, has net assets of at least C$5,000,000.
dA person registered under the securities legislation of a jurisdiction of Canada as an adviser or dealer.
eA corporation, limited partnership, limited liability partnership, trust, or estate, other than a mutual fund or non-redeemable investment fund, that had net assets of at least C$5,000,000 as shown on its most recently prepared financial statements.

Australia

Corporations Act 2001 — Sophisticated Investor (s708)

aA person who has net assets of at least A$2,500,000.
bA person who has a gross income for each of the last two financial years of at least A$250,000 per year.
cA professional investor — including the holder of an Australian Financial Services Licence, a body regulated by APRA, or a person who controls at least A$10,000,000.
