Vox Royalty sells I-80 Gold offtake stream

(NASDAQ:VOXR ) (TSX:VOXR) (" Vox " or the " Company "), a returns-focused mining royalty and streaming company, is pleased to announce that, its subsidiary, Vox Royalty Cayman SEZC (" Vox Cayman "), has agreed to sell its capped gold offtake stream (the " i-80 Stream "), to i-80 Gold Corp. (" i-80 Gold "), for total consideration of $4.8 million (the " Transaction "), to be satisfied through the issuance to Vox of i-80 Gold common shares (the " Consideration Shares "). The Consideration Shares will be freely tradeable and not subject to any resale restrictions or hold period. Vox acquired the i-80 Stream in September 2025 as part of a global gold portfolio acquisition.

The i-80 Stream comprised a gold offtake covering 100% of gold production from Ruby Hill, Cove and Granite Creek assets in Nevada, USA, up to an annual cap of 40,000 ounces per annum until December 2028. In the first quarter of 2026, the i-80 Stream generated $270,000 in net precious metal margin (8,281oz at an effective margin of $32.51/oz) and is currently held at a carrying value of approximately $2,600,000 as at March 31, 2026. Completion of the Transaction is expected to occur prior to June 30, 2026.
