NV Gold launches non-brokered private placement

VANCOUVER, BC / ACCESS Newswire / June 30, 2026 / NV Gold Corporation (TSXV:NVX)(OTCQB:NVGLF)(FSE:8NV) (" NV Gold " or the " Company "), announces a non-brokered private placement for gross proceeds of up to $1,401,000 (CAD) through the issuance of up to 4,670,000 units (" Units ") at a price of $0.30 per Unit (the " Offering "). Each Unit will consist of one common share (each, a " Share ") and one half of one transferable common share purchase warrant (two half warrants create one " Whole Warrant ").

Each whole Warrant is exercisable at a price of $0.60 and expires 2 years from the issuance date. Each warrant is subject to an acceleration provision, which is triggered if at any time the Corporation's common shares have a closing price of $0.75 per share for a period of five (5) consecutive trading days. The acceleration would be triggered by a news release that would give warrant holders 30 days to exercise.

A Finder's Fee of six (6) percent may be payable on portions of this offering. Insiders may participate in the Offering. All securities issued in connection with the Offering will be subject to a statutory hold period expiring four months and one day after closing of the Offering.

Completion of the Offering is subject to the approval of the Exchange. Any participation by insiders in the Offering will constitute a related party transaction under Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions ("MI 61-101") but is expected to be exempt from the formal valuation and minority shareholder approval requirements of MI 61-101.
