Alcon Silver gains shareholder approval of arrangement

Vancouver, British Columbia--(Newsfile Corp. - July 6, 2026) - Alcon Silver Corp. (" Alcon ") and Mexican Gold Mining Corp. (TSXV: MEX) (" Mexican Gold ") announce that, in connection with the previously announced arrangement agreement dated April 8, 2026 between Mexican Gold and Alcon (the " Arrangement Agreement "), shareholders of Alcon have approved the plan of arrangement (the " Arrangement ") set out in the Arrangement Agreement by the requisite sixty-six and two-thirds (66 2/3) majority of shareholders and debenture holders of Alcon (voting as a single class) that voted at Alcon's annual general and special meeting (the " Meeting "), which took place on July 3, 2026. Alcon will now proceed to apply for a final court order approving the Arrangement (the " Final Order "). Alcon expects the application for the Final Order will be scheduled for July 8, 2026 at 9:45 a.m. (Vancouver time) at the Supreme Court of British Columbia at 800 Smithe Street, Vancouver, British Columbia, or as soon thereafter as counsel may be heard.

If the Final Order is granted, Alcon and Mexican Gold will proceed to close the Arrangement, which closing date is expected to be on or about July 15, 2026, or at such other date as the parties may agree.
