Nevada Sunrise closes first tranche of private placement

Vancouver, British Columbia--(Newsfile Corp. - July 7, 2026) - Nevada Sunrise Metals Corporation  (TSXV: NEV) (OTC Pink: NVSGF) (" Nevada Sunrise " or the " Company ") announced today that it has closed the first tranche of its non-brokered private placement as announced on June 8, 2026 in the amount of 34,536,282 units (the "Units") at a price of $0.03 per Unit (the " Offering ") for gross proceeds of $1,036,088.46 (the " First Tranche "). Each Unit consists of one common share of the Company (a " Share ") and one common share purchase warrant (a " Warrant "). Each Warrant will entitle the holder to purchase one common share at a price of $0.05 for a period expiring three years following the closing date of the Offering.
In connection with closing the first tranche of the Offering, the Company paid finder's fees to Canaccord Genuity Corp. of 6% cash totaling $12,600 and issued 420,000 finder's warrants (each a " Finder's Warrant ") representing 6% of the Units placed by the finders. Each Finder's Warrant will entitle the holder to purchase one common share in Nevada Sunrise at a price of $0.05 per common share, exercisable for a period expiring three years following the closing date of the Offering. The Offering is available to accredited investors and individuals that may qualify under certain other statutory exemptions.
The securities issued pursuant to the first tranche of the Offering will be subject to a statutory four-month hold period, expiring November 8, 2026, during which time the securities may not be traded. The Offering is subject to acceptance of the TSX Venture Exchange. Three insiders of the Company subscribed for a total of 800,000 Units in the First Tranche of the Offering.
Participation by the insiders constitutes a related party transaction as defined under Multilateral Instrument 61-101 ("MI 61-101"). The Company is relying on the exemptions from the valuation and minority shareholder approval requirements of MI 61-101 contained in sections 5.5(a) and 5.7(1)(a) of MI 61-101, as the fair market value of the participation by insiders in the First Tranche of the Offering does not exceed 25% of the market capitalization of the Company, as determined in accordance with MI 61-101.
