Pacific Empire closes $1.355 million private placement financing

Vancouver, British Columbia--(Newsfile Corp. - July 13, 2026) - Pacific Empire Minerals Corp. (TSXV: PEMC) ("Pacific Empire", "PEMC" or the "Company"), a British Columbia copper-gold explorer, announces that it intends to complete a non-brokered private placement (the "Offering") of up to 30,111,111 units of the Company ("Units") at a price of C$0.045 per Unit for gross proceeds of up to $1,355,000, with each Unit consisting of one common share in the capital of the Company (a "Common Share") and one Common Share purchase warrant (a "Warrant"), each Warrant entitling the holder thereof to purchase one Common Share at a price of C$0.07 for a period of three (3) years from the closing date of the Offering. The net proceeds from the sale of the Units will be used for the Company's 2026 drill campaign on its flagship Trident copper-gold-silver porphyry project and its Pinnacle project, and for general working capital purposes. Closing of the Offering is subject to the receipt of all necessary approvals, including the approval of the TSX Venture Exchange.
All securities issued pursuant to the Offering will be subject to a statutory hold period of four months and one day from the closing date of the Offering in accordance with applicable Canadian securities laws. The Company may pay finder's fees in connection with the Offering in accordance with the policies of the TSX Venture Exchange. Brad Peters, the Company's President and Chief Executive Officer, commented "Crews are on the ground, and diamond drilling is anticipated to begin in early August.
This follows months of data compilation and review, a newly completed airborne magnetic survey across northern Pinnacle, and an induced polarization survey at Trident that builds on work OZ Minerals completed there in 2014. It took Pacific Empire 12 years to consolidate this district-scale land position, where exploration dates back to the late 1960s and was previously carried out piecemeal by several operators, including Falconbridge, Asarco, BP, and OZ Minerals. Today, the entire district is held and being explored under one program." Qualified Person Ron Voordouw, P.Geo., Ph.D., is a Qualified Person as defined by National Instrument 43-101.
