       Vancouver, BC – July 21, 2026 – TheNewswire - New Age Metals Inc. ( TSXV: NAM) ( OTCQB: NMTLF) (FSE: P7J) (" NAM " or the " Company "), is pleased to announce that it has arranged and closed a non-brokered private placement financing offering of 1,613,000 flow-through units (“FT Units”) at a price of $0.31 per FT Unit for gross proceeds of $500,030 (the “Financing”).   Each FT Unit consists of one common share of the Company that will qualify as a “flow-through share” within the meaning of subsection 66(15) of the Income Tax Act (Canada) (“FT Common Share”) and one-half of one non-transferable common share purchase warrant (a “Warrant”). Each whole Warrant shall entitle the holder thereof to purchase one common share at an exercise price equal to $0.40 until July 21, 2028.   The Company has agreed to pay a commission to Accilent Capital Management Inc. in the amount of $25,001.50 in cash and 80,645 non-transferable commission warrants in connection with the Financing. Each commission warrant shall entitle the holder thereof to purchase one common share at an exercise price equal to $0.40 until July 21, 2028.
The commission is subject to TSX Venture Exchange approval.   The proceeds of the FT Units will be used for exploration and development on the Company’s projects located in Newfoundland, Ontario and Manitoba.
