”) is pleased to announce the appointment of Lisa Paulk Bohls, CPA, to its Board of Directors (the “Board”), effective
August 7, 2026

Ms. Bohls is a Houston-based Texas Certified Public Accountant and finance executive with more than 26 years of experience spanning public-company auditing and reporting, internal controls, governance and strategic growth. She is Co-Founder and Chief Strategy Officer of BGL Advisors and previously spent nearly 15 years with The Siegfried Group, rising to Senior Vice President and National Managing Director.
Earlier in her career with Ernst & Young and Arthur Andersen, Ms. Bohls worked with public companies on financial-statement audits, SEC reporting and Sarbanes-Oxley Section 404 internal-control matters. She has also held board and fiduciary leadership roles with the Texas Society of Certified Public Accountants.
Ms. Bohls’ appointment strengthens the Board’s public-company reporting, governance and organizational-scaling capabilities as LibertyStream advances its Texas operations and builds the corporate infrastructure supporting its next stage of growth.
Concurrent with Ms. Bohls’ appointment, Warner Uhl and Kyle Hookey have retired from the Board, effective August 7, 2026. The Company thanks Messrs. Uhl and Hookey for their leadership, counsel and years of service, including their contributions through several significant stages of LibertyStream’s development.
In connection with her appointment, the Board has approved the grant of 500,000 restricted share units (“RSUs”) to Ms. Bohls. The RSUs are to vest twelve-months following the grant date on August 7, 2027 and are subject to the terms of the Company’s Amended and Restated Omnibus Security Based Incentive Plan (the “Plan”).
All RSUs are approved to be granted pursuant to the Plan and are subject to the terms of the Plan, the applicable grant agreements and the requirements of the TSX Venture Exchange.
