Journey disposes of assets

Calgary, Alberta--(Newsfile Corp. - August 12, 2026) - Journey Energy Inc. (TSX: JOY) (OTCQX: JRNGF) (" Journey " or the " Company ") is pleased to announce it has entered into a definitive agreement to sell certain Northwest Alberta assets.

Journey has entered into a definitive agreement with a private company for the disposition of certain Northwest Assets (the " Assets ") for total cash consideration of $28 million, subject to customary closing adjustments.

The Assets include the Ante Creek pool and the Pine Creek gas field as well as certain of Journey's minor properties in Northwest Alberta. The Assets are currently producing approximately 1,170 boe/d (68% liquids) and carry end-of-life costs of approximately $31 million. Journey had not allocated any capital spending to the Assets for the last several years. The asset disposition has an effective date of July 1, 2026 and is expected to close on September 1, 2026. The proceeds will be directed to the ongoing development of the Duvernay light oil resource play.

This divestment, in conjunction with the previously announced asset sales, is consistent with Journey's medium-term goals of improving corporate sustainability by increasing Journey's per boe netbacks while reducing end-of -life costs as a percentage of producing asset value. Over the past two years Journey has divested approximately 3,000 boe/d (39% liquids) in eight different asset transactions. This has resulted in cumulative proceeds of $42.3 million, prior to closing adjustments, and has reduced corporate end-of-life costs by over $78 million.

When viewed in conjunction with the Countess asset disposition from June 1, 2026, the transactions for 2026 have realized proceeds of $35 million, before closing adjustments, and reduced corporate end-of-life costs by over $50 million. Journey's current end-of-life costs (un-escalated, undiscounted) are approximately $167 million. The redeployment of this capital to Duvernay development will help to make Journey more focused and sustainable moving forward.

2026 GUIDANCE

The impact of the Asset disposition on 2026 sales volumes guidance is estimated to be a reduction of approximately 390 boe/d (67% liquids). At this time there is no change to the previously announced capital spending guidance. Based on current, internal, forecast pricing for 2026, the disposition is expected to have a minor impact on Journey's Adjusted Funds Flow.

Non-IFRS Measure

The Company uses the following non-IFRS measure in evaluating corporate performance. This term does not have a standardized meaning prescribed by International Financial Reporting Standards and therefore may not be comparable with the calculation of similar measures by other companies.

"Adjusted Funds Flow" is calculated by taking "cash flow provided by operating activities" from the financial statements and adding or deducting: changes in non-cash working capital; non-recurring "other" income; transaction costs; and decommissioning costs. Because Adjusted Funds Flow is not impacted by fluctuations in non-cash working capital balances, Management believes these measures are more indicative of performance rather than the GAAP measured "cash flow generated from operating activities". In addition, Journey excludes transaction costs from the calculation of Adjusted Funds Flow, as these expenses are generally in respect of capital acquisition transactions.
