AI/ML Innovations proposes private placement

TORONTO, ON / ACCESS Newswire / August 14, 2026 / AI/ML Innovations Inc. (" AIML " or the " Company ") (CSE:AIML)(OTCQB:AIMLF)(FSE:42FB) is pleased to announce that it is proposing to complete a non-brokered private placement (the " Offering ") pursuant to which the Company will issue up to 40,000,000 units (" Units ") at a price of $0.05 per Unit to raise aggregate gross proceeds of up to $2,000,000. Each Unit will be comprised of one common share of the Company (a " Common Share ") and one Common Share purchase warrant (a " Warrant "). Subject to the anti-dilution provisions that will be contained in the certificates governing the terms of the Warrants, each whole Warrant shall be exercisable to acquire one Common Share at a price of $0.15 for a period of 60 months from the date of issuance of the Warrants .

The Offering remains subject to various closing conditions, including the approval of the Canadian Securities Exchange. The Company may pay a cash finders fee to eligible finders assisting in the Offering, and issue such number of broker warrants (" Broker Warrants ") as is equal to up to 7% of the aggregate number of Units issued, with each Broker Warrant entitling the holder to acquire one common shares at an exercise price of $0.15 for a period of five years.
