Grafton Resources launches non-brokered private placement

Vancouver, British Columbia – TheNewswire - August 24, 2026 – Grafton Resources Inc. (CSE:GFT; OTCQB: GFTFF; FSE: K8L0) (" Grafton Resources " or the " Company ") is pleased to announce a non-brokered private placement to raise gross proceeds to the Company of up to $2,000,000 (the “ Offering ”) by the issuance of up to 4,000,000 units (each, a “ Unit ”) of the Company at a purchase price of $0.50 per Unit. Each Unit will consist of one common share of the Company and one-half of one common share purchase warrant (each whole warrant, a “ Warrant ”). Each Warrant will entitle the holder to purchase one common share (a “ Warrant Share ”) of the Company at a purchase price of $0.90 per Warrant Share for a period of two years from the closing date of the Offering.

The proceeds of the Offering will be used for general working capital purposes. The Company may pay finder’s fees to eligible arm’s length finders who locate investors to participate in the Offering. The Offering is subject to the acceptance of the Canadian Securities Exchange. The securities issued pursuant to the Offering will be subject to a four-month hold period in accordance with applicable securities laws and the rules of the Exchange.
