Geomorphic AI partners with Latin Metals on Argentina project generation

Portland, Oregon--(Newsfile Corp. - August 31, 2026) - Geomorphic AI (" Geomorphic " or the " Company "), a private North American AI-driven minerals prospect generator, is pleased to announce that it has entered into a Services, Data Use and Royalty Agreement (the " Agreement ") with Latin Metals Inc. (" Latin Metals ") (TSXV: LMS) (OTCQB: LMSQF).

Under the Agreement, Geomorphic will apply its proprietary AI-driven geoscience platform to Latin Metals' extensive exploration database in Argentina to systematically identify, evaluate and rank new mineral exploration opportunities for potential acquisition.

The engagement expands Geomorphic's growing client-services business and provides the Company with access to a significant proprietary exploration dataset assembled by Latin Metals and its predecessor companies over approximately 25 years of work in Argentina.

HIGHLIGHTS

Proprietary dataset: Latin Metals has assembled an extensive exploration database covering multiple regions of Argentina through approximately 25 years of historic exploration work.

AI-driven project generation: Geomorphic will apply its specialist AI agents and geoscience workflow to analyze the dataset, identify prospective mineral opportunities and systematically rank them for further evaluation.

From data to new projects: Latin Metals will assess the highest-priority opportunities generated by Geomorphic and may secure mineral rights and advance selected targets as new exploration projects.

Aligned economics: Geomorphic may earn a 0.5% NSR royalty and a US$5,000 success fee on qualifying properties acquired by Latin Metals from target areas generated under the Agreement.

Reciprocal opportunity: If Latin Metals elects not to pursue certain target areas, Geomorphic may pursue those opportunities independently, subject to a reciprocal 0.5% NSR royalty and success-fee structure in favour of Latin Metals.

Geomorphic AI Founder and CEO, Mark Sumner , said:

"Latin Metals has spent decades assembling a proprietary exploration dataset across Argentina, and that is exactly the kind of information our platform is built to work with. Rather than beginning with a blank slate, we can apply our specialist AI agents across a large body of historic geological information to identify and rank opportunities much more systematically and efficiently.

The objective is straightforward: turn a deep historical dataset into a prioritized pipeline of actionable mineral opportunities. We are pleased to add Latin Metals as a client and look forward to helping them accelerate the next generation of projects in Argentina."

Keith Henderson, CEO of Latin Metals, commented:

"Latin Metals has built a proprietary exploration database based on extensive historical work completed throughout Argentina. Fully assessing that dataset, generating exploration targets and systematically ranking those targets using conventional methods could take years. Geomorphic's platform provides an opportunity to dramatically accelerate that process and move more quickly from data analysis to the acquisition of the highest-priority opportunities."

COMMERCIAL TERMS

If Latin Metals or an affiliate acquires mineral rights (an "Acquired Property") within or adjacent to a target area (a "Target Area") identified by Geomorphic during the applicable five-year royalty qualification period, Geomorphic will receive a perpetual net smelter return royalty equal to 0.5% of the net smelter returns attributable to Latin Metals' or its affiliate's interest in the Acquired Property (the "Geomorphic Royalty"). The Agreement applies the royalty only to the applicable attributable interest and not to interests held by unrelated third parties.

Latin Metals retains sole discretion over whether to investigate, stake, acquire, finance, develop or otherwise pursue any Target Area. If Latin Metals elects not to pursue a Target Area, or a Target Area otherwise becomes a released target area under the Agreement, Geomorphic may pursue mineral rights within that area. If Geomorphic or an affiliate subsequently acquires an interest in those mineral rights, Latin Metals will receive a reciprocal perpetual NSR royalty equal to 0.5% of the net smelter returns attributable to Geomorphic's or its affiliate's interest in the applicable property (the "Latin Royalty").

Geomorphic will also receive a US$5,000 success fee for each Target Area in which Latin Metals acquires qualifying mineral rights, while Latin Metals will receive a reciprocal US$5,000 success fee for each released target area in which Geomorphic acquires mineral rights, in each case subject to an aggregate maximum of US$50,000. Mineral rights currently held or agreed to be acquired by Latin Metals or its affiliates, or in respect of which Latin Metals or an affiliate is actively engaged in bona fide negotiations to acquire an interest, are excluded from the Agreement. Latin Metals will retain ownership of its proprietary exploration database, and the initial term of the Agreement is 12 months, subject to extension by mutual agreement.
