Private Placement

September 21, 2026 – TheNewswire - Victoria, BC: Luxor Metals Ltd. (“ Luxor” or “the Company ”) (“ LUXR”-TSX -V) announces that it intends to complete a non-brokered private placement consisting of the issuance of 5,000,000 units at a price of $0.14 per unit for gross proceeds of $700,000. Each unit will consist of one common share and one warrant; each warrant entitles the purchaser to obtain one common share exercisable at $0.20, valid for two years from the closing of the private placement.

The private placement is subject to regulatory approval, including but not limited to approval of the TSX Venture Exchange, and all securities issued pursuant to the private placement will have a hold period of four months and one day. There are no finder’s fees or other commissions associated with the transaction.

The proceeds of the financing will be used mainly for exploration of its mineral properties in the Golden Triangle area of northwestern British Columbia. Additional uses of the proceeds will be for general corporate purposes.
