(CSE:KING) (OTC: KGLDF) (FSE: 5LM1) (the “Company” or “King Global”) – This news release is being disseminated as required by National Instrument 62-103 – The Early Warning System and Related Take-Over Bid and Insider Reporting Issues, in connection with the acquisition of ownership, control or direction over securities of King Global Ventures Inc. (“King” or the “Corporation”) (CSE: KING) (OTC: KGLDF) (FSE: 5LM1) by one investor, Caryn Borland TTEE The Caryn L. Hildenbrand Living Trust DTD 9/23/97 (“Borland”).
On September 23, 2026, Borland acquired ownership of 5,000,000 Units of the Corporation (the “Acquisition”), at a price of US $0.40 per Unit. The Units were purchased from the Corporation on a private placement basis. Each Unit is comprised of one common share and one non-transferable common share purchase warrant (“Warrant”). Each Warrant is exercisable to acquire one common share of the Corporation at an exercise price of USD $0.75 per share for two years from date of closing.
Prior to the Acquisition Borland did not own an common shares of the Corporation. As a result of the Acquisition Borland now beneficially owns and controls, directly and indirectly, 5,000,000 Common Shares and 5,000,000 share purchase warrants, representing approximately 7.58% of the outstanding Common Shares on a non-diluted basis and 13.81% of the issued and outstanding Shares on a partially-diluted basis (assuming the conversion of all of the warrants into Common Shares).

An estimated 100,000 tonnes of copper grading between 3-5% copper was mined from the property until it was closed in 1942 due to the inability to secure fuel rations during WW2. Historical reports state that the main shaft was sunk to the 900-foot level, but that no ore was mined below the 500-foot level.
