Vancouver, British Columbia--(Newsfile Corp. - October 1, 2026) - TinOne Resources Inc. (TSXV: TORC) (" TinOne " or the " Company ") announces that the Company has closed its non-brokered private placement previously announced on September 9, 2026, raising gross proceeds of $750,000. A total of 15,000,000 units (the " Units ") were issued at a price of $0.05 per Unit (the " Offering ").
Each Unit is comprised of one common share (a " Share ") and one common share purchase warrant (a " Warrant ") of the Company. Each Warrant will entitle the holder to purchase one Share at an exercise price of C$0.10 until October 1, 2028.
In connection with the Offering, the Company paid finders fees of C$6,000 cash and issued 120,000 finders warrants of the Company (the " Finders Warrants ") to eligible arm's length finders. Each Finders Warrant entitles the finder to purchase one Share (a " Finder Warrant Share ") at a price of $0.10 per Finder Warrant Share until October 1, 2028.
The securities issued pursuant to and in connection with the Offering, including all securities issuable upon exercise thereof, are subject to a four-month and one-day hold period under applicable Canadian securities laws. Closing of the Offering remains subject to final approval from the TSX Venture Exchange (the "Closing of the Offering remains subject to final approval from the TSX Venture Exchange (the "TSXV").
The net proceeds from the Offering will be used to advance the company's Tasmanian projects, as well as for working capital purposes.
Insiders of the Company subscribed for an aggregate of 3,700,000 Units for gross proceeds of $185,000 under the Offering. Participation by insiders of the Company in the Offering constitutes a related-party transaction as defined under Multilateral Instrument 61-101 - Protection of Minority Security Holders in Special Transactions (" MI 61-101 "). The issuance of securities is exempt from the formal valuation requirements of Section 5.4 of MI 61-101 pursuant to Subsection 5.5(b) of MI 61-101 as the common shares of the Company are listed on the TSXV. The issuance of securities is also exempt from the minority approval requirements of Section 5.6 of MI 61-101 pursuant to Subsection 5.7(1)(b) of MI 61-101 as the fair market value was less than $2,500,000.
The securities issued pursuant to and in connection with the Offering have not been registered under the U.S. Securities Act of 1933, as amended, and may not be offered or sold in the United States absent registration or an applicable exemption from the registration requirements. This press release shall not constitute an offer to sell or the solicitation of an offer to buy nor shall there be any sale of the securities in any State in which such offer, solicitation or sale would be unlawful.
The Company issued a total of 1,000,000 incentive options to directors, officers and contractors of the Company.
